Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of the Pastrata platform, mobile applications, APIs, and related services (collectively, the "Service") provided by Indilago Ventures Inc. ("Pastrata," "we," "us," or "our"). By creating an account, joining a building community, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. Our collection and use of personal information is described in our Privacy Policy.

2. Definitions

  • "Building" means a residential building, strata corporation, homeowner association, or community that has been onboarded to the Service.
  • "Member" means a verified resident, council member, manager, or other authorized participant of a Building.
  • "Administrator" means a Member with elevated permissions to manage Building settings, documents, or membership.
  • "Content" means any text, documents, files, media, data, or other materials submitted, stored, or displayed in the Service.
  • "Premium Features" means paid plans, add-ons, or value-added services that extend core functionality.

3. Eligibility & Account Registration

You may use the Service only if all of the following are true:

  • You are at least the age of majority in your jurisdiction (and never younger than 16 years old).
  • You have authority to bind yourself, your household, or (if applicable) the organization you represent to these Terms.
  • You provide accurate, current, and complete registration information and keep it updated.
  • You are not barred from using the Service under applicable law.

4. Building Membership & Authorization

  • Building access is granted by an Administrator, Pastrata onboarding specialist, or by verifying ownership documents.
  • Administrators warrant that they are authorized by their Building to upload documents, invite Members, and configure settings.
  • You must only join or access Buildings with which you have a legitimate relationship (e.g., resident, council member, property manager).
  • You may not operate (or attempt to operate) a managed Pastrata account for a Building unless you are an authorized representative of that Building (including having permission from a strata council or a designated property manager). Doing so is a violation of these Terms and may result in immediate suspension or termination.
  • Administrators are responsible for removing Members who no longer belong to the Building and for maintaining accurate Building information.

5. Account Security

  • You are responsible for safeguarding the email account and devices used for passwordless authentication or passkeys.
  • You must promptly notify us at support@pastrata.com of any unauthorized use of your account.
  • Pastrata is not liable for losses that result from your failure to maintain the confidentiality of your authentication mechanisms.

6. Acceptable Use & Community Standards

  • Comply with all applicable laws, bylaws, and community policies.
  • Do not post unlawful, harassing, discriminatory, hateful, or fraudulent Content.
  • Do not upload malware, attempt to probe or breach Pastrata security, or bypass rate limits.
  • Do not spam, phish, scrape, or otherwise abuse the Service or other Members.
  • Respect intellectual property rights and only upload Content you have the right to share.

7. User Content & License

You retain all rights and ownership in your Content. By submitting Content to the Service, you grant Pastrata a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, and display that Content solely to operate, secure, and improve the Service. You represent and warrant that you have all rights necessary to grant this license and that your Content will not infringe or violate any third-party rights.

8. Building Documents & Confidential Information

  • Documents uploaded to a Building are visible only to authorized Members unless explicitly shared outside the Service.
  • Members must respect the confidentiality of Building documents and comply with applicable strata or HOA regulations.
  • Pastrata is not responsible for verifying the accuracy, completeness, or legal sufficiency of documents uploaded by Members.

9. AI-Assisted Features & Guidance

Pastrata may provide AI-assisted search, summarization, or bylaw Q&A features. These outputs are informational only, may reference imperfect or incomplete data, and do not constitute legal advice. Always consult official records or qualified professionals before acting on AI-generated guidance. You are responsible for reviewing outputs for accuracy and relevance.

10. Fees, Billing & Trials

  • Core resident access may be free, while certain Buildings or Administrators may purchase Premium Features.
  • Where fees apply, prices and billing intervals will be disclosed before purchase. Taxes may be added where required by law.
  • Unless stated otherwise, subscriptions renew automatically until cancelled. You may cancel at any time, but fees already paid are non-refundable except where required by law.
  • Trials or promotional offers may be modified or discontinued at any time without prior notice.

11. Feedback

If you provide feedback, suggestions, or product ideas, you grant Pastrata a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation or compensation to you.

12. Third-Party Services

The Service may integrate with third-party providers (such as email delivery, storage, analytics, or generative AI services). Pastrata does not control third-party services and is not responsible for their terms, policies, or actions. Your use of third-party services is governed by their respective agreements.

13. Beta & Preview Features

From time to time, we may invite you to test beta, preview, or experimental features. These features are provided on an "as-is" basis, may contain defects, and may be modified or discontinued without notice. We make no commitments regarding their future availability.

14. Service Availability & Modifications

  • Pastrata may evolve over time; we may add, change, suspend, or discontinue features with or without notice.
  • We strive for high availability but do not guarantee uninterrupted Service. Planned maintenance or outages may occur.
  • We are not liable for delays or failures caused by events beyond our reasonable control (force majeure).

15. Termination & Suspension

  • You may stop using the Service and request account deletion at any time.
  • We may suspend or terminate access immediately if you violate these Terms, present a security risk, or if required by law.
  • Upon termination, Sections that by their nature should survive (including ownership rights, disclaimers, limitation of liability, and indemnity) will remain in effect.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. PASTRATA DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PASTRATA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT WILL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

18. Indemnification

You agree to indemnify, defend, and hold harmless Pastrata, its affiliates, and their respective officers, directors, employees, and agents from and against any losses, liabilities, claims, demands, damages, expenses, or costs (including reasonable legal fees) arising out of or related to your Content, your use of the Service, or your violation of these Terms.

19. Governing Law & Venue

These Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable therein, without regard to conflict of laws principles. The parties irrevocably consent to the exclusive jurisdiction of the provincial and federal courts located in Vancouver, British Columbia, for any dispute arising out of or relating to these Terms or the Service.

20. Changes to These Terms

  • We may update these Terms from time to time. Material changes will be communicated through in-app notices or email.
  • Revised Terms become effective on the stated effective date. By continuing to use the Service after that date, you accept the updated Terms.
